특허를 받았는데도 제품을 못 팔 수 있다? 신제품 출시 전 FTO 검토가 필요한 이유

“우리 제품은 이미 특허를 받았습니다. 그러면 다른 회사 특허를 침해할 가능성은 없는 것 아닌가요?”

기업 상담에서 자주 나오는 질문입니다.

하지만 내 기술이 특허를 받을 수 있다는 것과, 그 기술을 실제로 제조·판매해도 타인의 특허권을 침해하지 않는다는 것은 전혀 다른 문제입니다.

특허등록은 자신의 발명이 특허요건을 충족해 일정한 범위의 독점권을 인정받았다는 의미입니다. 반면 FTO(Freedom to Operate) 검토는 특정 제품이나 공정을 특정 국가에서 특정 시기에 실제로 실시할 때 제3자의 유효한 특허권에 걸릴 위험이 있는지를 검토하는 작업입니다.

‘특허를 받았다’는 사실은 ‘제품을 자유롭게 팔 수 있다’는 보증서가 아닙니다. Patentability와 FTO는 질문 자체가 다릅니다.

1. 왜 자기 특허가 있어도 타인 특허를 침해할 수 있나요?

예를 들어 기존에 다음과 같은 특허가 있다고 가정해 보겠습니다.

기존 회사 A의 특허가 다음과 같은 제품을 청구합니다.

  • 구성요소 X
  • 구성요소 Y
  • 구성요소 Z

그런데 후발기업 B가 X+Y+Z에 새로운 기능 W를 추가해 훨씬 개선된 제품을 만들었습니다.

B의 W가 신규성과 진보성을 인정받으면 B는 개선발명에 대해 특허를 받을 가능성이 있습니다.

그러나 B가 실제 제품을 판매하면서 여전히 X+Y+Z를 모두 사용한다면 A 특허의 청구항 범위에 들어가는지 별도로 검토해야 합니다.

즉 B가 자신의 개선특허를 보유하고 있다고 해서 A 특허 문제가 자동으로 사라지는 것은 아닙니다.

이런 관계는 기술이 복잡하고 누적적으로 발전하는 다음 분야에서 특히 자주 발생합니다.

2. 특허권의 범위는 ‘발명의 아이디어’가 아니라 청구항을 중심으로 봅니다

특허법 제94조는 특허권자가 업으로서 특허발명을 실시할 권리를 독점한다고 규정합니다. Law.go.kr

그렇다면 어떤 기술이 그 특허권 범위에 들어가는지는 무엇을 보고 판단할까요?

가장 중요한 출발점은 특허청구범위, 즉 claims입니다.

WIPO 역시 FTO 분석에서는 현재 집행 가능한 특허권의 범위를 파악하기 위해 특허문헌의 claims에 초점을 맞춘다고 설명합니다. 특허가 어느 나라에서 유효한지, 언제까지 유효한지, 어떤 청구항이 실제 권리범위를 형성하는지를 함께 살펴야 합니다. WIPO

따라서 특허 제목이나 초록만 보고 “우리 제품과 비슷해 보인다” 또는 “다른 기술 같다”고 판단해서는 부족합니다.

실제 검토에서는 다음 자료가 중요할 수 있습니다.

  • 독립청구항
  • 종속청구항
  • 명세서
  • 도면
  • 심사과정
  • 보정내역
  • 권리의 현재 법적 상태
  • 존속기간
  • 무효 가능성 등

3. FTO는 ‘특허검색 한 번’으로 끝나는 작업이 아닙니다

하지만 검색 결과에 경쟁사 특허가 몇 건 나왔다고 해서 FTO 검토가 끝난 것은 아닙니다.

일반적인 FTO 검토는 다음과 같은 흐름으로 진행할 수 있습니다.

1단계 — 실제 제품 또는 공정을 정의합니다

어떤 제품을 실제로 제조하고 판매할 것인지 기술적으로 구체화해야 합니다.

시제품 단계와 양산제품이 다르다면 FTO 결과도 달라질 수 있습니다.

2단계 — 핵심 기술구성을 분해합니다

제품을 하나의 이름으로만 검색하지 않고 다음처럼 기능별·구성별로 나눕니다.

  • 핵심 하드웨어
  • 제어 알고리즘
  • 센서 구조
  • 통신방식
  • 제조공정
  • 소재
  • 결합관계

3단계 — 관련 특허군을 검색합니다

키워드뿐 아니라 IPC/CPC 분류, 출원인, 발명자, 인용관계 등을 활용할 수 있습니다.

4단계 — 법적 상태를 확인합니다

검색된 특허라고 모두 현재 위험한 것은 아닙니다.

  • 이미 소멸된 특허인지
  • 등록된 특허인지
  • 출원 중인지
  • 해당 국가에 실제 권리가 존재하는지
  • 존속기간이 남아 있는지

등을 확인해야 합니다.

5단계 — 청구항과 제품을 비교합니다

제품의 기술구성과 유효한 특허의 청구항을 대응시켜 실제 침해 위험을 분석합니다.

WIPO 역시 FTO를 Describe → Search → Analyze와 같은 단계로 나누어 제품의 예정된 사용, 국가, 시점과 관련 특허문헌을 검색하고 청구항을 분석하는 방식으로 설명합니다. WIPO

FTO는 ‘비슷한 특허가 있는지 검색하는 일’이 아니라, 실제 제품과 살아 있는 특허의 청구항을 연결해 보는 분석입니다.

4. 어느 나라에서 판매하는지도 중요합니다

특허권은 기본적으로 속지주의를 따릅니다.

한국 특허권은 한국에서의 실시행위와 연결되고, 미국 특허는 미국, 유럽 각국의 특허는 해당 권리가 유효한 국가와 관련됩니다.

WIPO도 특허권은 국가별·기간별로 한정되며, 해당 특허를 부여한 국가에서 그리고 특허가 유효한 기간 동안 집행된다고 설명합니다. WIPO

따라서 같은 제품이라도 다음과 같이 결과가 달라질 수 있습니다.

  • 한국에서 제조
  • 미국으로 수출
  • 독일에서 판매
  • 중국 공장에서 생산
  • 일본 시장에 진입

FTO 검토를 할 때는 “이 제품의 FTO가 있습니까?”라고만 질문하기보다 어느 국가에서, 어떤 방식으로, 언제부터 사업을 할 것인가를 함께 정해야 합니다.

5. 제품 출시 직전에 FTO를 하면 늦을 수 있습니다

FTO는 출시 일주일 전에 마지막 체크용으로만 하는 것이 아닙니다.

제품이 완성된 뒤 침해 가능성이 높은 특허가 발견되면 선택지가 크게 줄어듭니다.

이미 금형과 설비에 투자하고, 인증을 받고, 마케팅을 시작했다면 제품구조를 변경하는 비용이 훨씬 커질 수 있습니다.

따라서 일반적으로는 다음과 같은 시점에 단계적으로 검토하는 것이 유리할 수 있습니다.

초기 개발단계

핵심 경쟁특허와 기술방향을 파악합니다.

설계 확정 전

문제가 될 수 있는 청구항을 확인하고 설계를 변경할 여지가 있는지 봅니다.

양산·출시 전

최종 제품 사양을 기준으로 위험특허를 다시 점검합니다.

해외진출 전

진출국을 기준으로 별도 FTO 검토를 진행합니다.

6. 위험한 특허가 발견되면 제품을 포기해야 하나요?

반드시 그런 것은 아닙니다.

FTO 검토 목적은 “안 된다”는 결론을 내리는 것이 아니라 사업을 계속하기 위해 어떤 선택지가 있는지 사전에 파악하는 것입니다.

관련 특허가 발견되면 다음과 같은 대응방안을 검토할 수 있습니다.

  • 제품 설계 변경(design-around)
  • 해당 기능 제거 또는 변경
  • 특허권자로부터 라이선스 확보
  • 특허권 매입
  • 크로스 라이선스
  • 해당 특허의 유효성 검토
  • 권리범위 재검토
  • 다른 국가나 시장전략 검토
  • 특허 만료시점 고려

좋은 FTO 검토의 목적은 사업을 멈추는 것이 아니라, 출시 전에 위험을 발견해 설계·라이선스·시장전략 중 가장 합리적인 선택을 할 시간을 확보하는 것입니다.

7. “검색해 보니 같은 특허가 없던데요”가 충분하지 않은 이유

특허검색은 생각보다 어렵습니다.

같은 기술이라도 출원인은 전혀 다른 용어를 사용할 수 있습니다.

예를 들어 기업에서 “AI 영상검사장치”라고 부르는 기술이 특허문헌에서는 다음과 같이 표현될 수도 있습니다.

  • image processing apparatus
  • defect detection system
  • machine vision inspection
  • neural network-based classification
  • optical inspection device

따라서 제품명 하나만 검색해서 결과가 없다고 FTO risk가 없다고 판단해서는 안 됩니다.

IPC 또는 CPC 특허분류, 동의어, 상위·하위 개념, 경쟁사 특허군 등을 함께 사용해야 검색 누락을 줄일 수 있습니다.

8. 특허출원과 FTO는 함께 설계하면 더 효과적입니다

신제품을 개발하는 기업이라면 FTO와 자사 특허출원을 완전히 따로 진행하기보다 함께 보는 것이 좋습니다.

FTO 분석 과정에서 경쟁사의 핵심 특허와 기술공백을 확인하면 다음과 같은 전략으로 이어질 수 있습니다.

  • 등록특허뿐 아니라 관련 출원과 패밀리를 확인했는가

핵심 정리

자신의 제품에 대해 특허를 취득했다고 해서 그 제품의 제조·판매가 자동으로 타인의 특허권으로부터 자유로워지는 것은 아닙니다.

특허출원 또는 등록은 내 발명을 보호하기 위한 권리 확보이고, FTO는 내가 실제 제품을 사업화할 때 타인의 유효한 특허권을 침해할 위험이 있는지를 검토하는 작업입니다.

A common question from companies is:

“We already have a patent on our product. Doesn’t that mean we are free to manufacture and sell it?”

Not necessarily.

Obtaining a patent on your own invention and having freedom to commercialize that invention without infringing someone else’s patent are two different questions.

A patent gives its owner exclusive rights within the scope of the granted claims. Freedom to Operate, or FTO, focuses instead on whether a particular product, process or commercial activity in a particular jurisdiction and at a particular time may fall within enforceable patent rights owned by others.

WIPO describes FTO determination as a multi-step process used to investigate whether a specific planned activity can be carried out without apparently infringing enforceable patents owned by third parties. WIPO

A patent on your improvement is not a certificate that you are free to commercialize the product. Patentability and FTO address different legal and commercial questions.

1. Why can a patented product still infringe another patent?

Assume Company A owns an earlier patent covering a product containing elements X, Y and Z.

Company B later develops a significantly improved product containing X, Y, Z and a new feature W.

If W is new and inventive, Company B may obtain a patent on its improvement.

However, B’s commercial product still includes X, Y and Z.

B must therefore separately consider whether making and selling the improved product falls within the claims of A’s earlier patent.

The fact that B obtained its own patent does not automatically eliminate A’s rights.

This issue is particularly important in cumulative technology sectors such as semiconductors, telecommunications, batteries, medical devices, automotive systems, robotics, software-enabled products, chemicals and biotechnology.

2. Claims are central to patent scope

Article 94 of the Korean Patent Act provides that a patent owner has the exclusive right to commercially practice the patented invention. Law.go.kr

The analysis therefore requires more than comparing patent titles or abstracts.

Patent claims are a central starting point for determining the legal scope of the patented invention.

WIPO likewise emphasizes that FTO analysis focuses on claims in order to evaluate what enforceable patent rights exist, where those rights apply and when they remain in force. WIPO

Relevant materials can include:

  • independent claims;
  • dependent claims;
  • specification;
  • drawings;
  • prosecution history;
  • amendments;
  • current legal status;
  • patent term; and
  • potential validity issues.

3. FTO is more than a single patent search

However, identifying several similar documents is only the beginning.

A practical FTO analysis typically involves several stages.

Define the product

The actual product or process intended for commercialization should first be clearly defined.

Break the product into technical features

The analysis may separate hardware, algorithms, sensors, communications, materials, manufacturing processes and other technical elements.

Search relevant patent families

Searches can use keywords, IPC/CPC classifications, applicants, inventors and citation relationships.

Confirm legal status

Not every search result represents an enforceable right.

The reviewer should determine whether the patent is granted, pending, expired, abandoned or otherwise limited.

Compare claims against the product

The technical elements of the planned product are then compared with potentially relevant enforceable claims.

WIPO describes a similar structured process of describing the planned activity, searching potentially relevant patent documents and analyzing claims. WIPO

FTO is not simply a search for similar patents. It is an analysis connecting a real commercial product with the claims of enforceable third-party patents.

4. Jurisdiction matters

Patent rights are territorial.

A Korean patent is relevant to acts falling within Korea, while U.S., European, Chinese and Japanese rights must be considered separately for activities in those jurisdictions.

WIPO explains that patent rights are territorially and temporally limited and can generally be enforced only in the country where the patent right exists and while that right remains in force. WIPO

Accordingly, the FTO question should not merely be:

“Does this product have FTO?”

Instead, the company should define:

  • where the product will be manufactured;
  • where it will be sold;
  • where it will be exported;
  • when commercialization will begin; and
  • what technical configuration will actually be used.

5. FTO should not begin only days before launch

If a blocking patent is discovered after tooling, certification, manufacturing and marketing investments have already been made, the cost of changing the product may be significant.

FTO can therefore be considered at several stages.

Early R&D

Identify important competitors, patent clusters and technical risks.

Before design freeze

Determine whether design-around options remain available.

Before mass production and launch

Review the final product configuration.

Before entering another country

Conduct a jurisdiction-specific review for the target market.

6. A relevant patent does not necessarily mean the product must be abandoned

The purpose of an FTO analysis is not simply to conclude that a project cannot proceed.

It is to identify the risk early enough to consider alternatives.

Potential responses can include:

  • design-around;
  • removing or modifying a feature;
  • obtaining a licence;
  • acquiring the patent;
  • cross-licensing;
  • evaluating validity;
  • reconsidering claim scope;
  • changing market strategy; or
  • waiting for patent expiry where commercially realistic.

A useful FTO review creates decision time. It allows the company to choose between design changes, licensing and other business strategies before infringement risk becomes a launch-stage crisis.

7. Why a simple keyword search is not enough

Patent terminology is rarely uniform.

A product internally called an “AI vision inspection system” might appear in patent literature as:

  • image processing apparatus;
  • machine vision inspection;
  • defect detection system;
  • optical inspection device; or
  • neural-network classification apparatus.

Searching only the commercial product name can therefore miss important documents.

Patent classifications, synonyms, broader and narrower technical concepts and competitor portfolios should be considered.

8. FTO and patent filing work better together

FTO should not necessarily be separated from the company’s own patent strategy.

Analyzing competitor patents may reveal technical white space, potential design-around concepts and opportunities for improvement patents.

The information can support:

  • design-around development;
  • improvement inventions;
  • additional patent applications;
  • competitor portfolio analysis;
  • licensing negotiations;
  • R&D direction;
  • foreign filing strategy.

FTO can therefore serve not only as a litigation-risk tool but also as an input into IP-R&D and commercialization strategy.

FTO Checklist Before Product Launch

  • Has the final commercial product configuration been defined?
  • In which countries will the product be made, sold or exported?
  • Have the important technical features been separately identified?
  • Have keyword, classification and competitor searches been performed?
  • Have related patent families and applications been reviewed?
  • Has the current legal status of each potentially relevant patent been checked?
  • Have relevant claims been compared with the actual product?
  • Is there still time to redesign the product?
  • Have licence or validity options been considered where needed?
  • Will the FTO review be updated if the product design changes?
