회사에서 직원이 만든 발명, 자동으로 회사 것이 되나요? 직무발명 자동승계에서 놓치기 쉬운 것
직무발명 자동승계 제도 아래에서도 발명자 판단, 사내 규정, 신고·승계 절차, 정당한 보상, 비밀유지와 퇴직자 관리가 중요합니다.

회사의 연구개발 과정에서 새로운 기술이 나오면 흔히 이런 말을 합니다.
“회사에서 월급을 받고 개발했으니 당연히 회사 발명 아닌가요?”
실무에서는 그렇게 단순하게 판단하면 위험합니다.
직원이 회사 업무와 관련하여 만들었다고 해서 모든 아이디어가 자동으로 회사의 특허가 되는 것은 아닙니다. 먼저 그 기술이 법적으로 직무발명에 해당하는지, 실제 발명자가 누구인지, 회사에 직무발명 승계 규정이나 계약이 있는지, 권리가 언제 회사로 이전되는지, 그리고 발명자에게 어떤 보상절차가 필요한지를 구분해서 살펴야 합니다.
특히 2024년 8월 7일부터 시행된 발명진흥법 개정으로 직무발명에 대한 권리승계 구조가 달라졌습니다. 회사가 미리 직무발명의 권리를 승계하도록 계약이나 근무규정을 마련해 둔 경우에는 일정한 요건 아래 그 권리가 발명의 완성 시점부터 사용자에게 승계되는 구조가 도입됐습니다.
그렇다고 해서 이제 회사가 아무런 절차도 관리하지 않아도 된다는 의미는 아닙니다.
오히려 발명자 확인, 직무발명 신고, 사내 규정, 보상, 외부 공개, 공동연구, 퇴직자 관리까지 하나의 IP 프로세스로 연결하는 것이 더 중요해졌습니다.
먼저, ‘직무발명’인지부터 확인해야 합니다
직원이 만든 발명이라고 해서 모두 직무발명은 아닙니다.
발명진흥법상 직무발명은 단순히 “회사에 다니면서 만든 발명”을 의미하지 않습니다. 일반적으로는 해당 발명이 사용자의 업무범위에 속하고, 그 발명을 하게 된 행위가 종업원의 현재 또는 과거 직무에 속하는지를 함께 판단해야 합니다.
예를 들어 회사에서 배터리 제어기술을 개발하는 엔지니어가 업무 중 새로운 충전 제어 알고리즘을 개발했다면 직무발명에 해당할 가능성을 검토해야 합니다.
반면 회사의 업무와 전혀 관계없는 분야의 아이디어를 직원이 개인적으로 만들었다면 결론이 달라질 수 있습니다.
따라서 회사가 가장 먼저 해야 할 일은 “우리 직원이 만들었으니 회사 것”이라고 결론을 내리는 것이 아니라 다음을 확인하는 것입니다.
- 회사의 실제 사업 및 기술 분야
- 해당 직원의 현재 및 과거 직무
- 발명이 시작되고 구체화된 과정
- 회사의 설비·데이터·인력·비용 사용 여부
- 프로젝트 지시 및 업무분장
- 해당 기술이 회사 연구개발의 연장선인지 여부
이 과정이 제대로 정리되지 않으면 나중에 권리귀속뿐 아니라 발명자 표시, 보상, 퇴직 후 분쟁까지 연결될 수 있습니다.

팀장이나 대표이사를 발명자로 넣으면 되는 것 아닌가요?
그렇지 않습니다.
특허에서 발명자는 직급이나 프로젝트 관리 권한으로 결정되는 것이 아닙니다.
예산을 승인한 사람, 연구개발을 지시한 대표, 프로젝트를 관리한 팀장이라는 이유만으로 발명자가 되는 것은 아닙니다. 반대로 직급이 낮은 연구원이라도 청구하려는 기술적 사상의 창작에 실질적으로 기여했다면 발명자로 검토해야 합니다.
공동개발 프로젝트에서는 이 부분이 특히 어렵습니다.
처음 아이디어를 낸 사람, 실제 설계를 한 사람, 문제점을 발견한 사람, 핵심 구조를 변경한 사람, 실험조건을 최적화한 사람의 기여도가 서로 다르기 때문입니다.
이럴 때 도움이 되는 자료는 다음과 같습니다.

- 설계도 및 버전 변경 기록
- 회의자료
- 이메일과 프로젝트 기록
- 소스코드 변경 이력
- 시험결과와 개선기록

특히 여러 직원 또는 외부 업체·대학교·연구기관이 함께 개발한 기술이라면 출원 직전에 발명자를 급하게 정하기보다 개발과정 중에 기술적 기여를 기록하는 것이 좋습니다.
직무발명 자동승계가 시행됐으니 이제 신고가 없어도 되나요?
아닙니다.
현재 발명진흥법은 종업원이 직무발명을 완성한 경우 그 사실을 사용자에게 지체 없이 서면으로 알리도록 하는 구조를 두고 있습니다.
또한 회사가 직무발명에 관한 권리를 미리 승계하도록 하는 계약 또는 근무규정을 정해 놓은 경우에는 개정된 권리승계 규정이 적용될 수 있습니다.
중요한 것은 자동승계라는 단어 때문에 신고와 기록이 필요 없다고 오해하지 않는 것입니다.
회사는 실제로 다음과 같은 흐름이 작동하도록 만드는 것이 좋습니다.
발명 발견 → 직무발명 신고 → 발명자 확인 → 직무발명 여부 확인 → 권리귀속 확인 → 국내·해외 출원 여부 결정 → 출원 → 보상 → 추가발명 관리
발명신고가 제대로 이루어지지 않으면 회사가 어떤 기술이 언제 완성되었는지조차 뒤늦게 알게 될 수 있습니다.
특히 제품 출시가 빠른 스타트업이나 소프트웨어 기업에서는 개발은 완료됐는데 IP 담당자에게 전달되지 않은 상태에서 GitHub, 앱스토어, 투자자료, 전시회, 고객 제안서 등을 통해 기술이 먼저 공개되는 일이 생길 수 있습니다.
사내 규정이 오래됐는데 그대로 사용해도 될까요?
직무발명 규정을 오래전에 만들었다면 현재 법과 실제 회사의 업무 흐름이 맞는지 다시 볼 필요가 있습니다.
규정 이름만 존재하는 것으로 충분하지 않습니다.
실무적으로는 최소한 다음 단계가 연결되는지를 확인해야 합니다.
발명 신고
누가, 언제, 어떤 양식으로 발명을 신고하는지 명확해야 합니다.
발명자 판단
발명제안자와 법적 의미의 발명자를 혼동하지 않도록 절차가 필요합니다.
권리승계
회사가 어떤 직무발명을 승계하고 어떤 경우에는 승계하지 않을 것인지 운영기준이 있어야 합니다.
출원 의사결정
국내출원, PCT, 개별국 해외출원, 영업비밀 유지 중 어떤 전략을 선택할지 정하는 단계가 필요합니다.
보상
출원·등록·실시·처분 등 회사 상황에 맞는 보상체계를 마련하고 실제로 운영해야 합니다.
퇴직자 관리
퇴직 직전 신고된 발명, 아직 신고되지 않은 진행 중 기술, 공동발명, 비밀정보 및 후속개량발명을 점검할 필요가 있습니다.
규정의 문구와 실제 회사 운영이 서로 다르면 분쟁이 생겼을 때 설명하기 어려워집니다.
직무발명 권리가 회사로 넘어오면 보상은 없어도 되나요?
그렇지 않습니다.
권리승계와 정당한 보상은 별도의 중요한 문제입니다.
발명진흥법은 직무발명에 관한 권리를 사용자에게 승계시키거나 전용실시권을 설정하는 경우 종업원에게 정당한 보상을 받을 권리를 인정하고 있습니다.
회사는 보상규정을 만들 때 단순히 금액 하나를 정하는 것보다 실제 IP 운영방식과 연결하는 것이 좋습니다.
예를 들어 회사에 따라 다음 단계가 달라질 수 있습니다.

- 특허출원 보상
- 등록 보상
- 해외출원 관련 보상

모든 회사가 같은 보상체계를 사용해야 하는 것은 아닙니다.
다만 회사의 보상규정이 실제로 어떻게 결정되고 적용되며 통지되는지가 중요합니다.
주의할 점“회사가 연구개발비를 모두 부담했으니 별도의 직무발명 보상은 필요 없다”거나 “근로계약서에 회사 소유라고 적었으니 보상 문제도 끝났다”고 단정하는 것은 위험합니다.
특허출원보다 먼저 제품을 공개해도 될까요?
이 문제는 직무발명 관리에서 매우 중요합니다.
현장에서는 발명이 완성된 시점과 외부 공개 시점 사이에 IP 검토가 빠지는 경우가 많습니다.
예를 들어 다음과 같은 공개가 있을 수 있습니다.
- 전시회 출품
- 회사 홈페이지 신제품 공개
- 투자설명자료
- 고객 제안서
- 논문 또는 학회 발표
- 기술백서
- 오픈소스 공개
- GitHub 업로드

특허출원을 검토할 기술이라면 이러한 공개 이전에 출원전략을 확인하는 것이 안전합니다.
반대로 모든 기술을 특허로 공개하는 것도 항상 최선은 아닙니다.
외부에서 침해를 발견하기 어렵거나 제조공정 내부에만 존재하는 노하우라면 영업비밀로 관리할 가능성도 검토할 수 있습니다.
따라서 직무발명 관리체계는 단순히 “특허를 낼 것인가”를 판단하는 시스템이 아니라 특허·영업비밀·공개 여부를 함께 결정하는 시스템이어야 합니다.
직원이 퇴사하려고 하는데 진행 중인 발명이 있습니다
이 경우는 출원 전에 반드시 정리하는 것이 좋습니다.
퇴직 전후에는 다음과 같은 질문이 생깁니다.
“발명은 회사에 있을 때 시작했지만 퇴사 후 완성됐다면 누구의 것인가?”
“퇴직 직원이 다른 직원과 공동으로 개발했다면 발명자는 누구인가?”
“회사가 아직 출원하지 않은 기술을 퇴직자가 새로운 회사에서 사용한다면 어떻게 되는가?”
“퇴직 직전에 신고하지 않은 아이디어가 나중에 발견되면 어떻게 해야 하는가?”
이러한 문제는 단순히 퇴직일 하나만 보고 결정하기 어렵습니다.
발명의 구체적 완성 시점, 직원의 현재 또는 과거 직무, 실제 기술적 기여, 회사 프로젝트와의 관계, 사용된 회사 정보와 자원 등을 함께 확인해야 할 수 있습니다.
따라서 핵심 연구개발 인력이 퇴사한다면 최소한 다음을 정리해 두는 것이 좋습니다.

공동연구라면 회사의 직무발명 규정만 보면 될까요?
아닙니다.
대학교, 연구소, 외부 개발회사, 협력업체 또는 다른 기업과 공동개발한 기술은 한 회사 내부의 직무발명 문제를 넘어갑니다.
예를 들어 자사 직원과 대학 연구자가 공동으로 발명했다면 회사가 자사 직원의 권리를 승계하는 문제와 공동발명자 사이의 권리관계는 구분해서 검토해야 합니다.
공동연구 계약에서는 가능하면 연구가 시작되기 전에 다음을 정리하는 것이 좋습니다.

실제 상황을 하나 보겠습니다
가상의 기술회사 A가 있습니다.
A사는 센서 기반 장비를 개발하고 있고, 연구원 세 명이 제품개발에 참여했습니다.
팀장이 개발목표를 정했고, 연구원 B가 기존 센서의 오류 문제를 발견했습니다. 연구원 C가 이를 해결하는 새로운 구조를 제안했고, B와 C가 함께 시제품을 완성했습니다.
대표이사는 투자설명회 일정 때문에 일주일 안에 특허출원을 요청했습니다.
이 상황에서 단순히 대표와 팀장, B와 C를 모두 발명자로 넣으면 될까요?
그렇게 결정해서는 안 됩니다.
먼저 특허에서 보호하려는 핵심 기술이 무엇인지 결정해야 합니다. 다음으로 그 기술적 사상의 창작에 각 사람이 어떤 기여를 했는지 확인해야 합니다.
그 후 회사의 직무발명 규정, 권리승계 구조, 신고 여부를 검토합니다.
동시에 투자설명회 공개 전에 출원할 수 있도록 명세서를 준비해야 하고, 후속제품에서 추가될 개선기술이 별도 발명인지도 생각해야 합니다.
즉 발명자 판단과 특허출원, 회사의 권리귀속, 공개일정은 따로 처리할 일이 아니라 동시에 설계해야 하는 하나의 프로젝트입니다.
회사가 지금 확인하면 좋은 체크리스트
직무발명 관리가 제대로 되고 있는지 다음 질문부터 확인할 수 있습니다.
- 현재 직무발명 규정이 최신 법과 맞는가?
- 직원들이 발명신고 절차를 알고 있는가?
- 발명 신고와 외부 공개 승인 절차가 연결돼 있는가?
- 발명자를 직급이 아니라 기술적 기여로 판단하고 있는가?
- 공동연구 시 권리귀속 계약이 있는가?
- 보상규정이 실제로 운영되고 있는가?
- 퇴직자에게 미신고 발명 확인 절차가 있는가?

하나라도 명확하지 않다면 특허출원 건별 대응보다 회사의 직무발명 프로세스 자체를 한 번 점검하는 것이 효율적일 수 있습니다.

Does an Employee Invention Automatically Belong to the Company?
When a new technology is created within a company, one assumption appears frequently:
“The employee was paid to develop it, so the invention automatically belongs to the company.”
Korean employee-invention law requires a more careful analysis.
An invention created by an employee does not become a company patent merely because it was developed during employment. The company should distinguish several separate questions: whether the invention qualifies as an employee invention, who the actual inventors are, whether an advance succession agreement or employment rule exists, when the relevant rights pass to the employer, and what compensation process applies.
Amendments to Korea’s Invention Promotion Act that took effect in August 2024 changed an important part of the succession framework. Where an employer has established in advance, through an agreement or employment rules, that rights in qualifying employee inventions are to be succeeded to the employer, the statutory framework can cause those rights to pass from the time the invention is completed, subject to the applicable legal conditions.
This does not mean internal procedures have become unnecessary.
In practice, inventorship, invention reporting, ownership, compensation, confidentiality, external disclosure, joint research and employee departures should be managed as one connected IP system.
Is every invention created by an employee an employee invention?
No.
The legal concept of an employee invention is narrower than “anything an employee invents.”
The analysis generally considers whether the invention falls within the employer’s field of business and whether the acts leading to the invention fall within the employee’s present or former duties.
A company should therefore review the actual business and technology involved, the employee’s role, the circumstances in which the invention was conceived and developed, the use of company resources, project instructions and the relationship between the invention and the company’s R&D activities.
Who is the real inventor?
Inventorship is not determined by corporate title.
A CEO does not become an inventor merely by approving a budget. A team leader does not become an inventor merely by supervising a project.
The relevant question is who substantively contributed to the inventive technical concept that will be claimed in the patent application.
Useful records may include invention disclosures, laboratory notebooks, design revisions, technical meeting records, source-code history, experimental results and documentation showing who proposed particular technical solutions.
This becomes especially important when several employees, contractors, universities or external research organizations participated in development.
Does automatic succession eliminate the need for invention reporting?
No.
The statutory framework continues to contemplate employee notification of completed employee inventions.
A well-designed company process therefore should not begin only when a patent attorney receives an instruction to file. It should begin when an invention is identified.
A practical workflow may be:
invention identification → invention report → inventorship review → employee-invention analysis → ownership review → filing decision → patent filing → compensation → follow-on invention management
Without this process, a company may discover valuable technology only after it has already been disclosed to investors, customers, conference participants or the public.
Are old employee-invention rules still adequate?
Not necessarily.
An internal policy should reflect both current law and the company’s actual operational process.
A useful policy normally addresses invention reporting, inventorship review, ownership and succession, domestic and foreign filing decisions, compensation, confidential-information management and employee-departure procedures.
A policy that exists only as an old document but is not reflected in actual practice may provide much less practical protection than management expects.
Does company ownership eliminate compensation obligations?
No.
Ownership and compensation are separate issues.
Korean employee-invention law recognizes an employee’s right to appropriate compensation when rights in a qualifying employee invention are succeeded to the employer or an exclusive license is established under the relevant arrangement.
Compensation systems can be designed differently depending on a company’s IP lifecycle, but companies should consider how invention, filing, registration, commercialization and licensing events are actually managed.
What if the technology is disclosed before the patent application?
This is a frequent operational risk.
External disclosure can occur through exhibitions, product launches, fundraising presentations, customer proposals, academic papers, conferences, technical white papers, source-code publication, GitHub repositories, videos or social media.
A company should connect external-disclosure approval with its invention-reporting system so that potentially patentable technology is reviewed before publication.
At the same time, not every technical asset should automatically be patented. Certain manufacturing know-how or technology that cannot readily be detected in a competitor’s product may raise a separate trade-secret strategy question.
The real decision may therefore be patent, trade secret or intentional disclosure, rather than simply “file or do not file.”
What should be reviewed when an inventor is leaving the company?
Departures create a particularly important checkpoint.
The company should identify pending invention disclosures, unfiled technical developments, possible joint inventors, confidential information, design changes, follow-on improvements and planned public disclosures.
Questions about inventions developed around the time of departure may require analysis of when the invention was completed, what the employee’s duties were, what technical contribution was made and how the work relates to the company’s project.
What changes when outside collaborators are involved?
Joint development can create another layer of ownership complexity.
When a company’s employee invents jointly with a university researcher, contractor or employee of another company, the employer’s succession of its employee’s rights and the ownership relationship among joint inventors are separate issues.
Joint-development agreements should therefore address background IP, newly created IP, inventorship, filing control, filing costs, foreign filing, licensing, improvements, publication and confidentiality before disputes arise.
A practical example
Assume a technology company is developing a sensor-based product.
A team leader defines the development objective. Engineer B identifies a technical failure in the existing design. Engineer C proposes a new architecture to solve it, and B and C jointly complete the prototype.
The CEO then requests an immediate patent filing before an investor presentation.
Should all four people automatically be named as inventors?
No.
The patent team must first identify the inventive concept to be protected and then determine who contributed substantively to that concept.
At the same time, the company should verify its employee-invention rules and ownership position, complete any necessary internal reporting, and coordinate filing with the scheduled investor disclosure.
This illustrates why inventorship, ownership, filing and disclosure should not be treated as disconnected administrative tasks.
Building a workable employee-invention system
A mature employee-invention program should answer questions such as:
- Are current rules consistent with current law?
- Do employees know when and how to report inventions?
- Is external disclosure linked to IP review?
- Is inventorship based on technical contribution?
- Are joint-development ownership provisions documented?
- Is the compensation system actually implemented?
- Are inventions reviewed when key technical employees leave?
- Are foreign-filing decisions incorporated into the process?
- Does the company distinguish patent protection from trade-secret protection?
Employee inventions should not be managed only when a patent application is about to be filed.
A stronger system connects R&D, invention reporting, succession, patent filing, compensation, foreign protection and commercialization from the beginning.
