결론부터 말하면 그렇게 단순하지 않습니다.

직원이 회사의 업무와 관련하여 만든 발명이 「발명진흥법」상 직무발명에 해당하는지, 회사에 직무발명 승계에 관한 계약이나 근무규정이 존재하는지, 발명 완성 사실이 적절하게 통지됐는지, 그리고 회사가 어떤 절차로 권리를 승계하고 보상했는지를 함께 확인해야 합니다.

2024년 개정된 발명진흥법은 직무발명 권리승계 구조에도 중요한 변화를 두었습니다. 현재 법은 미리 직무발명 승계에 관한 계약이나 근무규정을 둔 경우 일정한 요건 아래 발명 완성 시점부터 사용자에게 권리가 승계되는 구조를 규정하고 있습니다. 따라서 회사 입장에서는 단순히 특허출원서에 회사 이름을 넣는 것보다 사전에 직무발명 규정을 제대로 설계하는 것이 훨씬 중요합니다. Law.go.kr

직원이 회사에서 개발했다는 사실만으로 모든 발명이 자동으로 회사 소유가 되는 것은 아닙니다. 직무발명 해당 여부와 사전에 마련된 승계 규정이 핵심입니다.

1. 먼저 ‘직무발명’인지부터 판단해야 합니다

발명진흥법상 직무발명은 단순히 직원이 재직 중 만든 모든 발명을 의미하지 않습니다.

핵심적으로는 발명이 사용자 등의 업무범위에 속하고, 그 발명을 하게 된 행위가 종업원의 현재 또는 과거의 직무에 속하는지를 검토해야 합니다.

예를 들어 회사에서 배터리 제어 알고리즘을 개발하는 연구원이 업무 과정에서 새로운 배터리 충전 제어기술을 만든 경우라면 직무발명에 해당할 가능성이 높습니다.

반대로 같은 직원이 퇴근 후 자신의 취미와 관련하여 회사 업무와 전혀 관계없는 새로운 생활용품을 발명했다면 상황은 다를 수 있습니다.

따라서 “회사 장비를 사용했는가”, “근무시간 중 개발했는가” 하나만으로 판단하지 않고 다음과 같은 요소를 종합적으로 검토할 필요가 있습니다.

  • 회사가 수행하는 사업과 기술 분야
  • 해당 직원의 실제 담당업무
  • 발명에 이르게 된 연구·개발 과정
  • 회사의 연구과제 또는 프로젝트와의 관계
  • 공동발명자가 있는 경우 각 발명자의 실제 기여
  • 현재 또는 과거 직무와 발명 사이의 관련성

2. 직무발명을 완성하면 직원에게도 통지 의무가 있습니다

발명진흥법 제12조는 종업원이 직무발명을 완성한 경우 지체 없이 사용자에게 문서로 알려야 한다고 규정하고 있습니다.

2명 이상이 공동으로 발명했다면 공동으로 알려야 합니다. Law.go.kr

실무에서는 이를 위해 회사가 다음과 같은 내부 절차를 두는 경우가 많습니다.

  1. 발명자가 발명신고서를 제출합니다.
  2. 회사가 직무발명 여부를 검토합니다.
  3. 발명자와 공동발명자를 확인합니다.
  4. 회사가 권리승계 여부를 결정합니다.
  5. 국내외 출원 여부를 결정합니다.
  6. 보상절차를 진행합니다.

이 과정에서 발명신고서가 매우 중요합니다.

발명의 기술적 특징뿐 아니라 누가 어떤 아이디어와 기술적 구성에 실질적으로 기여했는지를 기록해 두어야 향후 발명자 분쟁이나 공동발명 지분 문제를 줄일 수 있습니다.

3. 2024년 개정 이후 권리승계 방식이 달라졌습니다

현재 발명진흥법 제13조는 회사가 미리 직무발명에 대한 특허를 받을 수 있는 권리나 특허권 등을 회사에 승계시키도록 하는 계약 또는 근무규정을 정해 둔 경우, 해당 권리가 원칙적으로 발명을 완성한 때부터 회사에 승계되는 구조를 두고 있습니다.

다만 회사가 대통령령에서 정한 기간 안에 해당 발명을 승계하지 않겠다고 직원에게 통지하는 경우에는 예외가 됩니다. Law.go.kr

과거 직무발명 제도를 운영해 오던 기업이라도 오래된 규정을 그대로 사용하는 경우에는 현재 법에 맞는지 다시 확인해 볼 필요가 있습니다.

현재 제도에서는 “발명 후 나중에 양도계약서를 받으면 된다”는 식으로 접근하기보다, 사전에 승계 규정을 제대로 마련하는 것이 훨씬 중요해졌습니다.

승계규정이 없는 회사는 어떻게 되나요?

미리 승계에 관한 계약이나 근무규정이 없는 경우에는 상황이 달라집니다.

발명진흥법 제13조 제2항에 따라 회사는 직무발명 통지를 받은 뒤 대통령령으로 정한 기간 안에 승계 여부를 직원에게 서면으로 알려야 합니다.

그런데 사전에 승계 계약이나 근무규정이 없다면 회사가 직원의 의사에 반해 일방적으로 권리를 승계한다고 주장할 수 없습니다. Law.go.kr

즉 “어차피 회사 직원이니까 특허는 회사 것”이라는 전제에서 시작하면 위험할 수 있습니다.

4. 회사가 권리를 승계했다면 ‘정당한 보상’ 문제도 따라옵니다

직무발명 제도에서 회사가 가장 놓치기 쉬운 부분 중 하나가 바로 보상입니다.

발명진흥법 제15조는 종업원이 직무발명에 대한 특허를 받을 수 있는 권리 또는 특허권을 사용자에게 승계하게 하거나 전용실시권을 설정한 경우 정당한 보상을 받을 권리를 인정합니다. Law.go.kr

정당한 보상은 단순히 회사가 임의로 정한 금액을 한 번 지급했다고 자동으로 충족되는 것은 아닙니다.

법에서는 다음과 같은 사정을 고려합니다.

  • 보상형태와 보상액 결정기준을 정할 때 회사와 종업원 사이의 협의가 있었는지
  • 보상기준이 종업원에게 적절하게 공표·제시되었는지
  • 실제 보상형태와 보상액을 결정할 때 종업원의 의견을 들었는지

규정이 없거나 정당한 보상으로 보기 어려운 경우에는 발명으로 회사가 얻는 이익과 발명 완성에 회사와 종업원이 공헌한 정도 등이 고려될 수 있습니다. Law.go.kr

5. 직무발명 규정에는 무엇을 넣어야 할까요?

단순히 “직원이 만든 모든 특허는 회사 소유로 한다”는 한 문장으로는 충분하지 않을 수 있습니다.

직무발명보상 우수기업 관련 시행령에서도 직무발명 관련 계약 또는 근무규정에는 다음과 같은 사항을 포함하도록 하고 있습니다.

  • 직무발명 권리의 승계 절차
  • 보상형태와 보상액 결정기준
  • 보상절차
  • 승계 및 보상에 대한 이의신청
  • 심의·조정 또는 중재 절차

누가, 언제, 어떤 양식으로 발명을 신고해야 하는지 정합니다.

직무발명 판단 절차

회사에서 권리를 승계한 뒤 실제 특허출원을 할지, 영업비밀로 관리할지, 출원을 보류할지를 판단하는 절차가 필요합니다.

보상기준

출원보상, 등록보상, 실시보상, 처분보상 등 회사 상황에 맞는 보상체계를 설계할 수 있습니다.

분쟁 또는 이의제기 절차

발명자나 보상액에 이견이 생겼을 때 내부적으로 해결할 수 있는 절차를 마련해 두는 것이 좋습니다.

6. 특허출원을 하지 않아도 보상 문제가 없어지는 것은 아닙니다

회사가 직무발명 권리를 승계한 뒤 모든 발명을 특허출원해야 하는 것은 아닙니다.

어떤 기술은 공개되는 것보다 영업비밀로 관리하는 것이 더 유리할 수 있고, 사업성이 낮아 출원을 포기할 수도 있습니다.

하지만 발명진흥법 제16조는 사용자가 직무발명 권리를 승계한 후 출원하지 않거나, 출원을 포기 또는 취하한 경우에도 정당한 보상 문제가 존재할 수 있음을 규정하고 있습니다. Law.go.kr

따라서 회사가 “특허를 내지 않았으니 보상도 필요 없다”고 단순하게 판단해서는 안 됩니다.

직무발명 보상 문제는 ‘특허가 등록됐는가’만으로 결정되지 않습니다. 회사가 권리를 승계했다면 출원하지 않은 경우까지 포함해 보상 규정을 함께 검토해야 합니다.

7. 공동발명은 특히 조심해야 합니다

현실의 R&D에서는 한 명이 모든 것을 발명하는 것보다 여러 직원이 함께 기술을 개발하는 경우가 많습니다.

여기에 대학, 외부 연구기관, 협력업체까지 참여하면 공동발명 관계는 더욱 복잡해집니다.

발명진흥법 제14조는 직원의 직무발명이 제3자와 공동으로 이루어진 경우 회사가 계약이나 근무규정에 따라 직원의 권리를 승계하면 그 직원이 가지는 권리 지분을 회사가 승계하는 구조를 두고 있습니다. Law.go.kr

따라서 공동연구를 시작할 때부터 다음 사항을 정리하는 것이 좋습니다.

  • 실제 발명자는 누구인지
  • 기관별 발명자와 기여 관계
  • 특허출원 명의
  • 비용 부담
  • 권리 지분
  • 실시권
  • 해외출원 결정권
  • 기술이전 수익 배분

특히 공동연구계약에 적힌 기관별 지분과 실제 발명자 판단은 반드시 같은 개념이 아닐 수 있으므로 별도로 검토해야 합니다.

8. 직무발명 제도는 특허출원 직전에 만드는 것이 아닙니다

직무발명 문제는 특허를 출원할 때 처음 검토하면 늦을 수 있습니다.

연구원이 퇴사했거나, 공동발명자 사이에 갈등이 생겼거나, 외부 투자자가 IP ownership을 확인하는 시점에서 처음 문제를 발견하면 해결 비용이 크게 증가합니다.

특히 투자, M&A, 기술이전 또는 IPO 실사 과정에서는 다음과 같은 질문이 나올 수 있습니다.

  • 실제 발명자가 회사 직원이 맞는가?
  • 회사가 특허를 받을 권리를 적법하게 승계했는가?
  • 퇴직자 발명이 포함되어 있지 않은가?
  • 공동연구기관과 권리관계가 정리되어 있는가?
  • 직무발명 보상분쟁 가능성이 있는가?

따라서 기술기업이라면 발명신고 → 발명자 확인 → 권리승계 → 출원전략 → 보상 → 사후관리까지 하나의 프로세스로 운영하는 것이 좋습니다.

회사가 점검할 직무발명 체크리스트

  • 직무발명 규정이 현재 법에 맞게 작성되어 있는가
  • 모든 R&D 직원에게 규정이 적절하게 알려져 있는가
  • 발명신고 양식이 있는가
  • 공동발명자 확인절차가 있는가
  • 회사가 권리를 승계하지 않는 경우의 처리방식이 정해져 있는가
  • 출원·등록·실시·처분 등에 대한 보상기준이 있는가
  • 종업원의 의견을 듣는 절차가 있는가

An invention created by an employee while working for a company does not automatically become company property in every case.

The first question is whether the invention qualifies as an employee invention under Korea’s Invention Promotion Act. The company must then review whether it has a pre-existing agreement or employment rule governing succession of employee inventions, whether the invention was properly reported, and whether compensation requirements have been addressed.

Following the 2024 amendments, Korean employee-invention law places even greater importance on having an appropriate succession system in place before an invention is created. Where an employer has established in advance an agreement or employment rule requiring succession of the right to obtain a patent or the patent right, the current law provides for succession to the employer from the time the invention is completed, subject to the statutory exceptions. The fact that an employee developed technology while working for a company does not by itself resolve ownership. The employee-invention analysis and the company’s pre-existing succession rules remain critical.

1. Is the invention an employee invention?

An employee invention is not simply any invention made by someone who happens to be employed.

The relationship between the invention and the employer’s business, as well as the employee’s present or former duties, must be examined.

Practical factors include:

  • the company’s business and technology field;
  • the employee’s actual responsibilities;
  • the R&D project that led to the invention;
  • the relationship between the invention and company-sponsored research;
  • the contribution of each potential co-inventor; and
  • whether the inventive activity falls within the employee’s present or former duties.

2. Employees must report completed employee inventions

Article 12 of the Invention Promotion Act requires an employee who completes an employee invention to notify the employer in writing without delay. Where two or more employees jointly make the invention, the notification must be made jointly. Law.go.kr

Companies therefore commonly establish an internal invention disclosure procedure.

A well-designed procedure may include:

  1. submission of an invention disclosure;
  2. confirmation of inventorship;
  3. determination of whether the invention is an employee invention;
  4. succession decision;
  5. domestic and foreign filing strategy; and
  6. employee compensation.

3. The succession framework changed after the 2024 amendment

Under the current Article 13, where an employer has established in advance an agreement or employment rule requiring succession of employee-invention rights, the relevant rights are generally transferred to the employer from the time the invention is completed.

An exception applies where the employer notifies the employee within the prescribed period that it will not take the rights. Law.go.kr

This means companies should no longer treat employee-invention ownership merely as paperwork to be completed immediately before filing a patent application.

What if there is no pre-existing succession rule?

Where there is no agreement or employment rule governing succession, the employer must notify the employee in writing of its decision within the statutory period after receiving the invention notice.

In such a case, the employer cannot simply insist on succession against the employee’s wishes. Law.go.kr

4. Succession creates a compensation issue

Employees have a statutory right to fair compensation where they transfer the right to obtain a patent, a patent right or establish an exclusive licence for an employee invention in favor of the employer.

The Act considers factors such as:

  • consultation between employer and employees in establishing compensation criteria;
  • whether the compensation criteria were adequately disclosed;
  • whether employees were given an opportunity to provide their views on the compensation; and
  • where necessary, the benefit obtained by the employer and the respective contributions of employer and employee. Law.go.kr

A company should therefore manage ownership and compensation together rather than treating them as separate afterthoughts.

5. What should an employee-invention policy contain?

A practical policy should normally deal with:

  • invention disclosure procedures;
  • criteria for determining whether an invention is an employee invention;
  • succession procedures;
  • patent filing and confidentiality decisions;
  • compensation methods and criteria;
  • objections and dispute procedures;
  • joint inventions and external collaborators; and
  • treatment of inventions involving departing employees.

The enforcement framework for certified employee-invention compensation companies also identifies succession procedures, compensation criteria and objection or dispute-resolution procedures as important components. Law.go.kr

6. Compensation may still matter even if the company does not file a patent

An employer may decide not to file an application after succeeding to an employee invention.

For example, the technology may be more appropriately protected as a trade secret, or the company may decide that filing is commercially unnecessary.

However, Article 16 provides that fair compensation may still be required where the employer succeeds to the rights and then chooses not to file, or abandons or withdraws the application. Law.go.kr

The absence of a granted patent does not automatically eliminate employee-invention compensation issues.

7. Joint inventions require additional care

Modern R&D frequently involves multiple employees, universities, research institutes or external companies.

Where an employee invention is jointly made with a third party, the company may succeed to the share of rights held by its employee in accordance with the statutory framework. Law.go.kr

Joint R&D arrangements should therefore address:

  • actual inventorship;
  • ownership shares;
  • filing responsibility;
  • filing costs;
  • licensing rights;
  • foreign filing decisions; and
  • commercialization revenue.

8. Employee-invention management should start before patent filing

Problems often surface during investment, M&A, technology transfer or litigation rather than at the time the invention is first made.

A due-diligence reviewer may ask:

  • Were the named inventors actually the inventors?
  • Did the company validly obtain the right to file?
  • Are former employees involved?
  • Were university or collaboration rights properly handled?
  • Is there potential employee-compensation exposure?

Companies with meaningful R&D operations should therefore manage employee inventions as a continuous process from disclosure through succession, filing, compensation and commercialization.
