1. 회사가 광고비와 제작비를 냈어도 명의는 확인해야 합니다
설명을 위한 가상 상황입니다. 창업자가 개인 명의로 브랜드를 등록한 뒤 회사를 세우고, 회사 계좌로 광고비를 지급하며 제품을 판매합니다. 투자 준비 과정에서 상표 등록원부를 확인했더니 권리자는 여전히 창업자 개인으로 표시됩니다.
이때 회사가 브랜드를 키우는 데 돈을 썼다는 설명만으로 상표 소유권 정리가 끝나지는 않습니다. 기존 계약에 어떤 내용이 있는지, 양도 대상이 특정됐는지, 등록까지 마쳤는지 확인해야 합니다. 회사 이름이 적힌 상품 포장과 상표권자 명의는 서로 다른 확인 항목입니다.
2. 이름을 고치는 것과 권리자를 바꾸는 것은 다릅니다
동일한 권리자의 주소나 명칭이 바뀐 경우와, 개인에게서 법인으로 소유자가 바뀌는 경우를 구분해야 합니다. 법인 설립 후 상호가 비슷하게 유지된다고 해서 단순한 표시 정정만으로 처리할 수 있다고 판단하면 안 됩니다.

7. 포괄양수도 계약서가 있다면 별지를 대조해 보세요
설명을 위한 가상 사례입니다. 개인사업자 A씨는 사업을 새 법인에 넘기는 계약서에 “사업 관련 자산 일체를 양도한다”고 적었습니다. 회사는 이 문구를 보고 상표까지 모두 정리됐다고 생각했지만, 등록번호 목록과 이전등록 완료 자료는 따로 확인하지 않았습니다.

9. 자주 묻는 질문: 로고, 도메인, 갱신까지 한 번에 끝나나요?

I incorporated my business. Does my personally owned trademark automatically belong to the company?
Incorporation or a change in business registration does not automatically transfer a founder’s registered trademark to the company. Check whether the business operator and registered owner are the same, and decide whether the company should own the trademark or have permission to use it.
This article addresses an ordinary registered trademark assigned by an individual to a newly established company. 1. Company spending does not settle ownership
In a hypothetical example, a founder registers a brand personally, incorporates, and then pays for advertising and product sales through the company. Investment due diligence later reveals that the trademark register still identifies the founder as owner.
The fact that the company funded brand development does not complete the ownership analysis. Review existing agreements, whether the rights being assigned were identified, and whether registration was completed. A company name printed on packaging and the ownership entry in the trademark register answer different questions.
2. Distinguish record corrections from a change of owner
Changing the address or name of the same rights holder differs from moving ownership from an individual to a legal entity. Similar trading names before and after incorporation do not make the transaction a simple correction of owner details.
A pending application and an already registered trademark also require different procedures. Create an inventory showing application or registration number, current stage, owner and designated goods. Managing every item under a vague heading such as “name change” can obscure the steps needed.
3. Assignment or permission to use?
Assigning the trademark itself differs from retaining personal ownership while permitting the company to use it. Korean trademark law recognizes exclusive and non-exclusive licences. Official overview of transfers and licences
Consider the company’s longer-term commercial needs:
- Will investors or a buyer expect the company to own the brand?
- Must the company continue using it if the founder leaves or shareholders change?
- Should overseas registrations be managed by the same entity?
- What do distribution, franchise and existing licence agreements say about ownership and use?
Neither structure is universally preferable. Match it to the commercial relationship and contracts. If licensing is chosen, address duration, covered goods, territory, payment and the consequences of termination.
4. Match the agreement to the register
The Korean IP authority recommends obtaining the register and checking the current status before a transfer. Prepare the assignment agreement or transfer document and the required evidence concerning the parties. Check co-ownership and registered burdens. As a practical matter, identify registration numbers, marks, designated goods and the scope of the transfer instead of relying solely on “all our brand rights.” If word marks and logos are separately registered, check that none is accidentally omitted.
The transfer price, tax treatment and corporate approvals are related but separate issues. Obtain appropriate accounting and tax advice before assuming that a gift or an arbitrary price suits the transaction.
5. Build the inventory around registration numbers
One commercial brand may involve several rights: a Korean word mark, an English name, a logo and registrations covering different goods. Transferring only the registration the founder remembers best can leave other marks used by the business under personal ownership.

The inventory gives everyone a concrete basis for discussing what “the brand” includes. List foreign rights by country and number and do not mark them complete merely because the Korean procedure has finished. Identifying omissions before signing is usually easier than reconstructing the parties’ intentions later.
6. Consider investment, departure and termination scenarios
The founder and company may appear to have identical interests at incorporation. When investors or co-founders join, control of the brand can become a more visible commercial issue. A business that pays for marketing and sells products should be able to explain the basis on which it uses its key marks.
Compare structures against practical situations: the founder leaves, the business is sold, a licence ends or existing branded stock remains. Ask whether the company can keep operating under the same name, what an investor would be told about the arrangement and who is responsible for remaining products.
These questions do not dictate that assignment is always preferable. They help determine whether company ownership or a carefully designed continuing licence fits the business plan. Review associated transaction documents so the registration work does not overlook contractual commitments made elsewhere.
7. Reconcile a business-transfer agreement with its schedules
Consider a hypothetical founder who transfers “all business assets” to a new company. The company assumes the trademark work is complete, but nobody checks a schedule of registration numbers or evidence of completed recordal.
The agreement should not be dismissed as irrelevant, nor treated as proof that every procedural step occurred. Separate the questions: was the trademark included, which rights were covered, and was the necessary registration completed? The agreement and the register provide different parts of the answer.
Compare the signed document, schedules, rights inventory and current register. Look for an omitted logo, a pending application or a mark owned by another business participant. If clarification is needed, consider an appropriate document based on the parties’ actual agreement. Do not alter a signed original or invent earlier dates to make the file appear complete. These are practical record-management points, not conclusions about the effect of any particular contract.
8. Assign responsibility through to completion
A useful division of work is for the founder to collect existing rights and contracts, the company to confirm its details and commercial requirements, the IP representative to reconcile records and filing materials, and the accounting or tax adviser to address the transaction structure and price.
Track more than the signing date. The working schedule can distinguish document collection, execution, filing, responses to deficiencies and confirmation of completion. The precise documents and procedure depend on the transfer and the recorded rights, so this is an organizational example rather than a universal filing checklist.
Identify who will receive follow-up requests. If every notice goes to a founder’s personal email while staff believe the matter is closed, a routine correction can be missed. The company’s final file should contain evidence of the result, not only a submission receipt, and should identify the person responsible for future renewals.
9. Resolve the common practical questions
Does using the same business name make this a correction? Focus on whether the legal owner is the same person. An address correction and a transfer from an individual to a corporation are different matters.
What if the founder owns every share? Complete share ownership does not, by itself, demonstrate that the personally held trademark has been transferred. Check the rights arrangement the company actually needs.
Does handing over the logo file transfer the trademark? Access to an image file and ownership of a registered mark are different questions. Check the file and copyright arrangements separately from the trademark record.
Do the domain and shopping accounts follow automatically? Review each service’s ownership, administrator-change process and contract. A trademark recordal does not establish that all account access has also been transferred.
Can renewal management wait until later? Include current deadlines and the next responsible person in the handover. A change of owner should not create a gap in routine rights management. Keep the completed register and the commercial agreements together so later staff can understand both what the company owns and how related assets are managed.
10. Complete the administrative handover
After registration, confirm that the company appears as owner and assign responsibility for renewal deadlines and related contracts. Keep contact details and notice-handling arrangements current so staff departures or email changes do not cause important correspondence to be missed.
Do not assume a Korean trademark transfer also updates foreign registrations, domains and shopping-platform accounts. List each asset and its ownership or administrative requirements separately.
